How to register a single shareholder company in Nepal

Nepal allows a private limited company with a single shareholder. The process is largely the same as for several shareholders, but the documents are worded differently.

How it differs from a multiple-shareholder company

  • All shares sit with one person, so the share allocation is simple
  • The articles handle general meetings and quorum differently
  • The general meeting minute is written as a single person’s decision
  • The Section 92 director disclosure lists one or very few names

Documents needed

  • Memorandum of Association in single-shareholder form
  • Articles of Association in single-shareholder form
  • Shareholder’s citizenship copy and photograph
  • Proof of registered address
  • CAMIS registration application

Worth knowing

A single-shareholder company still appoints directors and still owes an annual update. Treating it as informal because there is only one owner is how fines happen.

Adding a shareholder later means a share transfer or a change in capital structure, each with its own documents.
