How to complete a company annual update in Nepal
Every registered company must file an update with the Office of the Company Registrar after each fiscal year. Having no turnover does not exempt you.
Documents needed
- Board of Directors minute
- Annual General Meeting minute
- Section 51 inventory of shares, debentures and loans
- Section 92 disclosure by directors
- Audit report and financial statements
- Application to the Registrar
The order
- AuditHave your auditor prepare the annual accounts and report.
- Board meetingApprove the accounts and resolve to call the general meeting.
- General meetingAdopt the accounts and appoint or reappoint the auditor.
- Prepare documentsDraft the minutes and the Section 51 and Section 92 statements.
- File in CAMISUpload the documents and submit the application.
What happens if you file late
A fine applies and it grows the longer the filing is outstanding. A company that has not updated for years will run into problems with bank lending, tenders and renewals. Fine rates are set by the office and change over time, so confirm the current rate in CAMIS or at the office.
