How to register a company in Nepal
Private limited company registration in Nepal runs through the Office of the Company Registrar’s CAMIS system. The usual sequence is below. Depending on what your business does, additional approvals may apply.
The steps
- Reserve a nameCreate a CAMIS account and submit your proposed name. A similar name already on the register will be rejected, so have two or three options ready.
- Draft the MOA and AOAThe memorandum sets out objects and capital; the articles set out how the company is run. The wording differs for a single shareholder versus several.
- Upload documentsUpload the MOA, AOA, citizenship copies, photographs and address proof to CAMIS.
- Pay the government feeThe fee scales with authorised capital and is shown in CAMIS.
- Examination and certificateThe office reviews the filing and issues a certificate of incorporation if everything is in order.
- Register for PANAfter incorporation, obtain a Permanent Account Number from the Inland Revenue Office.
- Register with your municipalityRegister the business with your local level, then renew annually.

- Signed Articles of Association
- Citizenship copies for every shareholder
- Passport-size photographs
- Proof of registered address — rent agreement or ownership document
- CAMIS registration application
- Fee payment receipt
How long it takes
With complete and correct documents, registration usually completes within a few working days. A rejected name, returned documents or an additional approval will extend that. The office’s workload also matters.
Common mistakes
- Submitting only one name option — a rejection sends you back to the start
- Writing the objects clause too narrowly, forcing an amendment when the business grows
- Setting authorised capital higher than needed, which raises the government fee
- Forgetting the three-month initial return after incorporation, which attracts a fine
