How long does company registration take?
Our documents are usually ready in one to two working days. How long registration itself takes depends on whether the papers are complete, whether the name is approved, and the office’s workload.
What is the difference between a single and multiple shareholder company?
In a single-shareholder company one person holds all the shares. In a multiple-shareholder company they are divided between several people. That changes the articles, the general meeting minutes, quorum and the Section 51 and 92 statements — which is why we list them as separate services.
What documents are needed to register a company?
A signed memorandum and articles, citizenship copies and photographs for every shareholder, proof of registered address, the CAMIS application and the fee receipt. Some business activities need an additional approval.
What are the MOA and AOA?
The memorandum sets out the company’s name, objects, capital and shareholders — what the company is to the outside world. The articles set out how it runs internally — meetings, directors, share transfers and the auditor.
What is needed for a company annual update?
Board and general meeting minutes, the Section 51 share and loan inventory, the Section 92 director disclosure, the audit report, and the application to the office. The audit report comes from your auditor; we prepare the rest.
What documents are needed for a share transfer?
The transfer deed, a special general meeting minute, the investment certificate, the application to the office and an updated share register. A transfer after death also needs the death registration certificate and proof of relationship.
