How to register a multiple shareholder company in Nepal

When several people register a company together, the share split, the directors and the decision process all have to be written into the documents from the start.

Settle these before you file

  • Who holds what percentage
  • Who the directors are and for how long
  • Who makes day-to-day decisions, and what needs everyone’s agreement
  • What happens if someone wants out — who buys, at what price
  • Authorised and issued capital

Documents needed

  • Memorandum of Association
  • Articles of Association in multiple-shareholder form
  • Citizenship copy and photograph for every shareholder
  • Share allocation statement
  • Proof of registered address
  • CAMIS registration application

Advice

Writing down the share split and the exit terms at the start is the single most useful thing you can do. Most disputes come from these never being agreed in writing.

For anything the articles do not cover, a separate founders’ agreement is worth having.
