How to transfer company shares in Nepal

A share transfer moves ownership of the company, in part or in whole, to someone else. Whether by sale, gift or inheritance, the register has to be updated at the office.

The process

  1. Agree termsSettle how many shares move and at what price.
  2. Check the articlesSee whether your articles restrict transfers or give existing shareholders a right of first refusal.
  3. Meet and resolveApprove the transfer at a special general meeting or board meeting.
  4. Draft the deedPrepare the transfer deed, investment certificate and a resignation letter if a director steps down.
  5. File with the officeSubmit the documents with an application to the Registrar.
  6. Update the registersBring the share register and director registry into line with the new structure.

  • Proof of relationship
  • Heir’s citizenship copy
  • Where there are several heirs, their agreement or evidence of partition

A dispute between heirs becomes a court matter. Consult an advocate in that situation.

Worth knowing

After the transfer, the share register, the director registry and your next annual update all have to show the new structure. Repeating the old figures creates contradictions that surface later.
