How to change a company name in Nepal

Changing a company name needs a special general meeting resolution, amended memorandum and articles, and approval from the Office of the Company Registrar.

The process

  1. Choose the new nameCheck CAMIS for similar names already registered. Have two or three options.
  2. Pass the resolutionResolve on the change at a special general meeting.
  3. Amend the documentsPrepare amended memorandum and articles carrying the new name.
  4. File the applicationSubmit the minute and amended documents to the office.
  5. ApprovalOnce approved, a certificate in the new name is issued.

  • Inland Revenue Office — PAN records
  • Your bank — account and signatory details
  • Local level — business registration
  • Any licensing authority
  • Contracts with customers and suppliers

Worth knowing

Approval is the office’s decision. Names too similar to an existing one, misleading names, or names using restricted words can be rejected.
